How aktiebok.io works: companies, the share register, events, holders, exports and connecting your AI.
What it is
aktiebok.io is a share register (aktiebok) and cap table for Swedish limited companies. The board keeps the register, as the law requires; aktiebok.io is where it is kept. It is free, and you can export everything at any time.
You can do everything on the web. You can also connect your own AI app: it reads the register and prepares changes, and you confirm them.
Signing in
Enter your email and we send you a sign-in link. There is no password. The address you sign in with decides what you see: the companies you are a member of, and the holdings made visible to you.
Companies and members
Create a company with its name, org number, share classes and any transfer restrictions (förbehåll) from the bolagsordning. A company with one share class simply has shares; add classes A, B and so on only if the articles have them.
On the Company tab you add members by email. An admin can change the register and manage members. A reader sees the whole register, with other people's personnummer as birth years, and changes nothing. The backup email is the company's own mailbox, such as board@company.se. If every admin loses access, someone who can read that mailbox signs in with its address and claims access under Companies. Every admin is told by email and sees the claim in the company; unless one of them cancels it, the backup address becomes an admin after seven days. No admin is removed.
When you administer several companies, the company name at the top is a menu that switches between them.
To look around before entering your own register, choose Try a sample company on the Companies page while it is empty, or ask your AI for one. It is an invented company of your own, Blåsippan Robotics AB, with its history already entered and one draft waiting for review. It works like any company, except that it is yours alone: nobody can be added as a member, and Visible to gives nobody access there. It is marked as a sample in the app, and is removed by itself after 60 days without a new entry. Remove it on its Company tab; a removed sample is deleted for good.
Reading the register
- Cap table
- Who owns what, by capital, by votes and fully diluted, with every programme of warrants and options under it. Once an issue has a price, each holding also shows its value at the price per share of the latest such issue.
- Register
- The aktiebok itself. Every share by number, in order, and who holds it. Click a row for its details.
- History
- Every entry, newest first. Reversed entries stay on record, struck through. A corrected entry shows what it said before.
- Holders
- The people and organisations in the register, with their details.
Every one of these pages has a date field: pick an earlier date and the cap table, the register, the history, the holders and the notes all show that day. Each holder's name, id number and address are shown as they are now.
An entry has two days: its date, which you give, and the day it was entered in the register, which is set when you confirm. So an earlier date can be read two ways. As dated is who held what on that day, with everything known today. As it stood is what the register showed on that day, without anything entered later. When the two differ, a line under the date says why and lets you switch.
Changing the register
Every change is an event. You add one or more events to a draft, review exactly what they will do, and confirm. Nothing is registered until you confirm, and a draft's events are confirmed together or not at all.
- Add entry opens the form. Pick the event type, fill it in and press Add to draft. Add more events if they belong together, for example an issue and a transfer on the same day.
- Review and confirm shows each event with its share numbers, every holder before and after, the share capital and any warnings.
- A draft you have not confirmed waits under Companies, in "Waiting for your review". Only you see your drafts. Discard removes one; nothing in the register changes. A draft waits until you confirm or discard it; you can have 20 waiting.
A confirmed entry is never deleted, and what it did is never edited: to change who holds which shares, reverse it from History and enter it again; the history keeps both. A wrong date, basis or price is corrected on the entry, and History shows what it said before.
Moving a register in
A register kept on another platform or in a spreadsheet moves in through your AI: give it the old register's history and its current printout, and it enters the whole history. aktiebok.io replays every event and compares the result with the old register share by share; only a match can be confirmed.

If the import turns out wrong, a new import replaces it, as long as nothing has been entered on top of it. A wrong date, basis or price on an imported entry, or the day the old register entered it, is corrected on the entry at any time. Anything else is reversed and entered again. The files are not kept once the import is confirmed; the register is the record.
Event types
- Formation
- The shares the founders subscribed for in the stiftelseurkund. Available until the company has its first entry.
- Issue
- New shares from a nyemission, with the next free share numbers.
- Transfer
- Shares move from one holder to another (överlåtelse) and keep their numbers.
- Cancellation
- Shares are cancelled (indragning).
- Split
- Every share is divided, or combined (sammanläggning), by the same ratio.
- Conversion
- Shares became another class (omvandling): some of a holder"s, a whole class, or named share numbers. Dated when Bolagsverket registered it. The shares keep their holder, their numbers and the day they were entered.
- Share certificate
- A certificate (aktiebrev) was issued for shares, or returned. The register says which shares have one.
- Förbehåll
- The bolagsordning was changed and the förbehåll with it, for every class or for one. The register prints them per block of shares.
- Votes
- The bolagsordning was changed so that a class carries another number of votes per share. Dated when Bolagsverket registered it; a register for an earlier date keeps the old votes.
- Note
- Something noted in the register that moves no shares, such as a hembud notice, a pledge or a holding a board member reports. Notes are kept in their own list under History and in their own export section; one that lasts, like a pledge, is open until a later note closes it. Nothing is enforced for a note.
- Capital change
- The share capital changes without new or cancelled shares, such as a fondemission without new shares.
- Warrants and options
- Teckningsoptioner and personaloptioner are entered as a programme: its terms once, how many in all, and the holders. Later entries give them out, take them back, transfer them, exercise them into shares, or make the programme smaller. What no holder has shows as Unallocated. - Void
- An issue that never happened, because the subscription lapsed or registration was refused.
- Correction
- Change the date, basis or price of a confirmed entry. No shares move, and History shows what it said before.
- Reversal
- Undo a confirmed entry. The original stays on record.
Each event needs a basis: the document behind it, such as a styrelsebeslut or a bolagsstämmoprotokoll, and its date.
Warrants, employee options and convertible loans are not shares, and many founders meet them for the first time when they need them. The guide says what each is, what happens in real life step by step, and what to enter here at each step.
Registration
aktiebok.io does not file anything with Bolagsverket. You file there as before and record the result here.
An issue can be entered before it is registered: the shares enter the register at once, and the share capital changes from the registration. When the registreringsbevis arrives, open History, where the entry says "Not registered": press that, then enter the date and the share capital from the certificate. That completes the issue's own entry; no new entry is made.
Holders and who sees what
Holders are people or organisations. A personnummer shows as the birth year only; an admin can click one to reveal it.
Visible to on a holder is up to five email addresses or domains. Whoever signs in with one of those addresses, or with any address at one of those domains, sees the holding under My holdings and can read that company's register. Nothing is sent to anyone. Leave it empty and only the company's members see the register.
Group is optional: one group per holder, such as Founder, Investor or Employee, in your own words. Set it on the holder's row, or on several holders at once from the same list. The cap table can then be read by group, and since a holder is in one group only, the groups add up to 100 %. A group is a label like the name: it is the same for every date, and everyone who can read the register sees it.
Contact email is optional: the address the holder gave to be reached on for this holding. Everyone who can read the register sees it, and it gives no access to the register.
A holder can be deleted only if nothing in the register has ever pointed at them. To stop a former shareholder's access, clear Visible to.
Simulate a round or an exit
Simulate a round shows price and dilution before anything is registered. Set a pre-money valuation or a price per share, add investors, convertible loans and an option pool, and the terms update as you type. A simulation changes nothing in the register and is not saved; you can export it to Excel. Everyone who can read the register can simulate on it, readers and holders it is visible to as well as admins.
Switch to An exit to see what each holder would receive if the whole company were sold. Type the price for the whole company: it is shared equally per share, and warrants and options with a strike below the price per share count as exercised, with the strike taken off what their holder receives. You get the proceeds per holder, per group when holders are in groups, and whether each warrant or option was counted and why. A liquidation preference in the bolagsordning or a shareholders' agreement is not counted, nor the company's debt, the costs of the sale or tax.
Exports
Export from Cap table, Register, History or Holders: an Excel workbook or a PDF with the parts you pick, in English or Swedish, or plain CSV files. Admins choose whether full personnummer are included. An export follows the date chosen on the page and says how it is read. For a general meeting, the Voting-list base lists every shareholder with shares and votes as the register stood on the day, for the chair to tick off; the röstlängd itself is drawn up by the chair. To pay a dividend, the Dividend base lists each shareholder of a class, or of every class, with shares and amount as the register stood on the record day. Give it the total to pay out or the amount per share; each amount is rounded down to whole öre and the list says what is left over. It pays and sends nothing. Your AI
Any AI app that takes a custom MCP connector can work with your registers. Under Your AI, Connect has the ways in: Add to Claude opens claude.ai with aktiebok.io filled in; ChatGPT and most other apps take the address https://api.aktiebok.io/functions/v1/mcp (ChatGPT needs Developer mode on, which requires a paid plan). The app then sends you here to sign in and approve it, and you choose what it may do. Apps and scripts that take a key rather than a sign-in use Manual setup with a token.
A connected app or a token carries your access, or less if you choose:
- Read only
- The AI can look things up.
- Can draft
- The AI can prepare drafts. You confirm them here.
- Full access
- The AI can also confirm, after showing you the draft and getting your yes in the conversation.
A token can be limited to one company or to your domain; such a token is read-only. A token is shown once when you create it. A connected app or a token keeps working for as long as it is used: it ends twelve months after its last use, and at the latest two years after it was made. All of them are listed under Tokens, where you can revoke one at any time; the app stops working at once. Removing aktiebok.io inside the AI app does not revoke it here, and connecting again makes a new connection beside the old one, so revoke under Tokens when you mean to cut an app off.
Removing a company or your account
Removing a company is on the Company tab. It disappears for everyone at once and is deleted permanently after 30 days. Until then an admin can restore it from the Companies page. Download the full export first.
Deleting your account is under Account. It is refused while you are the only admin of a company: add another admin or remove the company first.
Account also shows your usage against the limits that protect the service, such as companies per account and changes per minute.
