Who votes and who is paid, as the register stood that day.

The general meeting and the dividend both start from the share register. What it decides, what the röstlängd is, and the two lists to print before the meeting.

In short

The register decides who takes part. A shareholder may take part in a general meeting if they are entered in the share register on the day of the meeting (ABL 7 kap. 2 §). Not the day the notice went out, and not the day they bought.

The register is at the meeting. The whole register is kept available to the shareholders there, and a register kept by computer is shown as a printout of how things stand that day (7 kap. 28 §).

The röstlängd is made at the meeting. It lists the shareholders and proxies who are present, with the shares and votes each represents. The chair of the meeting draws it up and the meeting approves it (7 kap. 29 §). It is drawn up from the register, but the register is not the röstlängd.

A dividend is paid from the register too. The meeting decides on the amount and the day, and whoever is in the register that day is paid.

Shares and votes are not the same

Unless the bolagsordning says otherwise, a shareholder votes for all their shares (7 kap. 8 §). With share classes, one class may carry more votes per share than another, up to ten times as many (4 kap. 5 §).

The list therefore shows both columns. A holder with few shares can have many votes, and the other way round.

A dividend

The general meeting decides on a dividend (18 kap. 1 §). The proposal states the amount per share and the day it is to be paid (18 kap. 3 §).

The amount has limits that a register cannot see. After the dividend the company's restricted equity must still be fully covered, and the payment must be defensible given what the business needs (17 kap. 3 §). That is a question for whoever does the accounts.

The register says who is paid and how much. In a company that keeps its own register the law names no record day: a shareholder can claim the dividend from the company only when entered in the register (4 kap. 37 §), so the decision should say which day's register counts. aktiebok.io calls that day the record day. One exception: someone who has acquired shares under hembud has the right to the dividend before being entered (4 kap. 35 §), and the list still shows the seller.

102 000 shares: 90 000 A shares with ten votes each and 12 000 B shares with one. The annual meeting decides on a dividend of 2 kr per share.

  • There are 912 000 votes in all. Astrid Lindqvist's 40 000 A shares are 39,22 % of the shares and 43,86 % of the votes.
  • Granliden Kapital AB's 12 000 B shares are 11,76 % of the shares and 1,32 % of the votes.
  • The dividend is 204 000 kr in all. Astrid is paid 80 000 kr and Granliden 24 000 kr: a dividend follows the shares, not the votes.

Questions that come up

Someone bought shares the week before the meeting.
They take part if they are entered in the register on the day of the meeting. Enter the transfer when the board has been shown it. Shares under hembud are a case of their own: the bolagsordning may say who votes until it is settled. See Share transfers and hembud.
A sale was entered late, after the meeting.
The list is made as the register stood on the day: what had been entered by then and nothing entered later. That is the version a shareholder's rights against the company follow, and the list says when something was entered afterwards.
New shares are allotted but the issue is not registered.
They are in the register, and the list says so in a line of its own. The right to take part follows the register on the day (7 kap. 2 §); if their vote is questioned, the meeting settles it when it approves the röstlängd (7 kap. 29 §). Ask an adviser beforehand when it could decide a vote.
Is the Voting-list base the röstlängd?
No. It is what the chair starts from. The röstlängd lists who was present, and the meeting approves it.
Can a holder see their own line beforehand?
Yes, when the company has made the holding visible to them: they sign in and read the register and their own holding.
