Filing with Bolagsverket, what, when and with which papers.
Which changes to a company's shares are filed with Bolagsverket, how and by when, and what each one means for the share register.
In short
Two records, kept by two parties. Bolagsverket registers the company's share capital, its number of shares and its bolagsordning. The board keeps the share register, which says who holds the shares. Neither is a copy of the other.
What changes the share capital or the number of shares is filed. A new issue, a bonus issue, warrants, a split, a reduction, and any change of the bolagsordning. Who owns the shares is not: a sale is entered in the register and goes nowhere else.
aktiebok.io files nothing. You file with Bolagsverket as before and record the result in aktiebok.io. This page shows how the two fit together.
What is filed
- Form 824, sent in as a PDF through verksamt.se.
- At once. The board may not decide on an issue before it is registered, and it lasts at most until the next annual meeting.
- Nothing. It is not a change to the shares.
- Form 822, sent in as a PDF through verksamt.se, signed by a board member or the managing director.
- Within six months of the decision. One year from the board's decision when the meeting approves it afterwards.
- Issue on the day of the allotment, marked Not registered. The registration is filled in when the certificate has come. See Issuing new shares.
- Form 823, sent in as a PDF through verksamt.se.
- At once.
- After the registration, dated that day: Issue at a price of 0, or Capital change when no new shares come of it.
- Form 826 when they are issued. Form 829 when they are used to subscribe for shares.
- Within six months of the decision to issue them; a decision not filed in time lapses. Shares subscribed with warrants are filed within three months after the time to use them ends, or after each financial year in which shares were subscribed.
- New programme when they are issued. Exercise on the day shares are allotted, marked Not registered. See Warrants, options and convertible loans.
- In the e-service on verksamt.se, where the company's details are changed.
- At once. The new number of shares applies from the registration.
- Split, dated the day of the registration. See Splitting shares.
- It depends on the purpose, and Bolagsverket's permission is often needed first.

- Cancellation when shares are cancelled, dated the day of the registration. See Buying out a co-owner.
- In the e-service on verksamt.se.
- The change applies only once it is registered.
- A Förbehåll entry when the restrictions on transfers changed, a Votes entry when a class's votes did, each dated the day of the registration.

File on verksamt.se, not on paper
Most of these are sent in digitally: a split and a changed bolagsordning as a case in the e-service, and the forms for issues, authorisations and warrants as a PDF uploaded on verksamt.se. For a reduction, see Bolagsverket's page for the case. Bolagsverket's fee list has one price for the e-service and a higher one for a form. Mind the originals: Bolagsverket asks for the bank certificate, and for an auditor's opinion on payment with property, in the original.
What it costs
Each of these filings cost 1 000 kr in the e-service and 1 200 kr on a form when this was written; an application for permission to reduce the share capital cost 2 000 kr. Fees change: the current ones are in Bolagsverket's list of fees for limited companies. A fee is paid for each case, and Bolagsverket starts work on a case when its fee has arrived.
How a filing goes
The papers for a new issue
A new issue is the filing most companies meet first. The minutes with the decision go in as a certified copy every time. The rest depends on how the shares were paid for.
- Paid in money: a bank certificate, in the original. It states the amount paid in, including any premium, that the money is in an account the company opened for the issue, and a date after the decision.
- Paid by set-off: the board's statement of who the creditor is, the size of the claim and how much of it is set off, and an authorised or approved auditor's opinion on that statement. The opinion is needed even when the company has no auditor of its own.
- Paid with property: the board's statement of how the property was valued, and an authorised or approved auditor's opinions on the statement and on the payment.
- When they exist: the new bolagsordning, the agreement on set-off or property, and the meeting's minutes when it approved a board decision afterwards.
An issue decided as an amount up to a maximum can be filed in parts. One decided as a fixed amount cannot. The whole list, with what a bank certificate must say, is on Bolagsverket's page on filing a new issue.
The limits in the bolagsordning. When an issue takes the share capital or the number of shares above the limits in the bolagsordning, the meeting changes the limits first. It may do both at the same meeting, in that order, and both are filed together.
What is not filed
- A sale, a gift or an inheritance of shares. It is entered in the share register and nowhere else: see Share transfers and hembud.
- The share register itself. It is the company's own, kept available at the company for whoever asks.
- Employee options. They are agreements between the company and an employee. Warrants issued to deliver the shares are filed; the options are not.
A sale can still lead to one filing: the company's report of its beneficial owner to Bolagsverket may need changing. That is a separate filing with its own rules; see Bolagsverket's page on beneficial owners.
Questions that come up
- The shares are allotted but the issue is not registered. What does the register show?
- The shares, in their holders' names, from the day of the allotment. The share capital stays as it was until the registration. In aktiebok.io the entry says Not registered until you fill it in.
- How do I see when an old change was registered?
- A new registreringsbevis shows the latest registration only. Bolagsverket's list of cases for the company has every one, with its day.
- We missed the six months for an issue.
- Then the decision has lapsed, and money paid for the shares is paid back. In aktiebok.io the issue is taken out with a Void entry. A new issue needs a new decision. Bolagsverket can still register a late issue when every subscriber consents in writing and the filing arrives within two years of the decision; its page on filing a new issue has the conditions.
- Can aktiebok.io fill in the forms?
- No. The register holds most of what a form asks for, so the figures are there to read off: Export gives the register and the history of the day you choose.
